These Terms of Service ("Terms") govern your access to and use of the services provided by Modern Shift Solutions, LLC ("Company," "we," "us," or "our"), including our digital marketing services and our AI voice concierge product operating under the name MedConcierge AI. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.
By engaging with Modern Shift Solutions, LLC or MedConcierge AI in any capacity — including visiting our website, submitting a contact form, signing a service agreement, or using any software, tool, or voice AI product we provide — you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.
Modern Shift Solutions, LLC provides the following categories of services:
The specific scope of services provided to any client will be defined in a separate service agreement or order form. These Terms apply to all services unless otherwise specified in writing.
MedConcierge AI uses artificial intelligence technology to conduct voice-based conversations with callers on behalf of your business. The AI agent is designed to answer questions, provide information about services, and book appointments. It is not a human being and does not provide medical advice, diagnosis, or treatment recommendations of any kind.
While we work to ensure the AI agent performs accurately and professionally, AI technology is not infallible. The agent may occasionally misunderstand caller requests, provide incomplete information, or fail to complete a booking. You agree that Modern Shift Solutions, LLC is not liable for errors, omissions, or misunderstandings that occur during AI-assisted interactions.
Access to the MedConcierge AI live demo is provided for evaluation purposes only. By accessing the demo, you consent to interacting with an AI voice agent and to your interaction being recorded and stored as described in Section 4.
By using MedConcierge AI — either as a business client or as an individual interacting with the AI agent — you acknowledge and agree to the following:

Payment terms for specific services will be outlined in your individual service agreement. All fees are due as specified in that agreement. We reserve the right to suspend services for accounts with outstanding balances.
Refunds are handled on a case-by-case basis at the sole discretion of Modern Shift Solutions, LLC. If you believe you are entitled to a refund, please contact us at [email protected] with a detailed description of your concern. We will review each request individually and respond within a reasonable timeframe. Submitting a refund request does not guarantee that a refund will be issued.
All content, software, technology, branding, and materials associated with Modern Shift Solutions, LLC and MedConcierge AI — including but not limited to the AI voice system, website design, copy, logos, and workflows — are the intellectual property of Modern Shift Solutions, LLC and are protected by applicable copyright, trademark, and intellectual property laws.
You may not reproduce, distribute, modify, or create derivative works from our materials without express written permission from Modern Shift Solutions, LLC.
Any content, data, or materials you provide to us in connection with our services remain your property. By providing such materials, you grant us a limited license to use them solely for the purpose of delivering the agreed-upon services.
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or completely secure.
To the maximum extent permitted by applicable law, Modern Shift Solutions, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of revenue, loss of patients or clients, loss of data, or business interruption — arising from your use of or inability to use our services.
Our total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the amount you paid us in the three months preceding the claim.
MedConcierge AI is designed to assist with appointment booking and general service inquiries for medical spas and aesthetics practices. At this time, Modern Shift Solutions, LLC does not represent that MedConcierge AI is a HIPAA-compliant solution and does not execute Business Associate Agreements (BAAs) as part of its standard service offering.
Clients deploying MedConcierge AI in a healthcare-adjacent environment are responsible for evaluating their own compliance obligations under HIPAA, state privacy laws, and any other applicable regulations. We strongly recommend consulting with a qualified healthcare compliance attorney before deploying AI voice technology in connection with any protected health information.
MedConcierge AI should not be used to collect, transmit, or process protected health information (PHI) as defined by HIPAA.
Either party may terminate a service engagement in accordance with the terms set out in the applicable service agreement. Modern Shift Solutions, LLC reserves the right to suspend or terminate access to any of our services immediately and without notice if we determine, at our sole discretion, that you have violated these Terms or engaged in conduct that is harmful to us, other users, or third parties.
Upon termination, your right to use our services ceases immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, and limitations of liability — shall continue to apply.
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Miami-Dade County, Florida.
We reserve the right to update or modify these Terms at any time. When we do, we will update the "Last updated" date at the top of this page. Continued use of our services after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
